Terms of Service

Please read these Terms of Service ("Terms") carefully before using the Voxxli mobile application ("App") operated by Voxxli ("we", "us", or "our"). By downloading, installing, or using the App, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the App.

1. Acceptance of Terms

By accessing or using Voxxli, you confirm that you are at least 13 years of age (or the minimum age required in your jurisdiction) and that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

2. Description of Service

Voxxli is a voice recording and transcription application that provides the following features:

• Audio recording using your device's microphone.
• Audio/video file import from your device's storage.
• On-device speech-to-text transcription using Apple's speech recognition frameworks (SpeechTranscriber, DictationTranscriber, SFSpeechRecognizer).
• AI-powered analysis including summaries, flashcards, chat, and speaker identification, powered by Google's Gemini API.
• File export in PDF and Markdown formats.
• Organization tools including folders, search, and favorites.

3. Subscriptions and Payments

3.1 Free Tier

Voxxli offers a free tier with the following limitations:

• Up to 3 recordings (lifetime total)
• Maximum 3-minute recording length per recording
• 1 file import (lifetime total)
• 3 AI summaries (lifetime total)
• No access to flashcards or chat features

3.2 Premium Subscription (Voxxli Pro)

Voxxli offers an auto-renewable subscription ("Voxxli Pro") that unlocks unlimited access to all features. Two plans are available:

• Weekly plan: Billed weekly at the price displayed in the App at the time of purchase.
• Yearly plan: Billed annually at the price displayed in the App at the time of purchase.

3.3 Billing and Renewal

• Payment is charged to your Apple ID account at confirmation of purchase.
• Your subscription automatically renews unless auto-renewal is turned off at least 24 hours before the end of the current billing period.
• Your account is charged for renewal within 24 hours prior to the end of the current period at the rate of your selected plan.
• You can manage and cancel your subscription in your Apple ID account settings at any time.
• Any unused portion of a free trial period, if offered, will be forfeited when you purchase a subscription.

3.4 Price Changes

We reserve the right to change subscription prices. Any price change will take effect after notice to you. If you do not agree with the new price, you may cancel your subscription before the price change takes effect.

3.5 Refunds

All purchases are processed through Apple's App Store. Refund requests must be submitted through Apple. We do not process refunds directly. For refund requests, visit https://reportaproblem.apple.com.

4. Artificial Intelligence Features

4.1 AI-Generated Content

Voxxli uses Google's Gemini AI to generate summaries, flashcards, chat responses, and speaker labels. You acknowledge and agree that:

• AI-generated content is provided for informational and convenience purposes only.
• AI-generated content may contain errors, inaccuracies, or omissions. It should not be relied upon as the sole source of truth.
• Summaries are algorithmic interpretations of your transcript and may not capture all nuances or context.
• Speaker identification is text-based (not acoustic) and may be inaccurate, especially for overlapping speech, monologues, or recordings with unclear speaker turns.
• Flashcards are auto-generated and may not cover all important topics or may include irrelevant questions.
• Chat responses are based on the transcript context and may misinterpret questions or provide incomplete answers.

4.2 Data Transmission for AI Features

To provide AI features, your transcript text is sent to Google's Gemini API servers for processing. By using AI features, you consent to this data transmission. Audio recordings are never transmitted - only the text transcript. See our Privacy Policy for full details.

4.3 AI Availability

AI features depend on network connectivity and the availability of Google's Gemini API. We do not guarantee uninterrupted availability of AI features. AI features may be temporarily unavailable due to network issues, API outages, rate limiting, or maintenance.

5. Transcription Service

5.1 On-Device Processing

Speech-to-text transcription is performed entirely on your device using Apple's speech recognition frameworks. Transcription accuracy depends on factors including:

• Audio quality and recording environment.
• Speaker clarity and accent.
• Language and dialect selected.
• Background noise levels.
• Device model and available processing power.

5.2 No Guarantee of Accuracy

We do not guarantee the accuracy, completeness, or reliability of any transcription. Transcripts should be reviewed and verified before being used for any critical purpose, including but not limited to legal proceedings, medical records, academic submissions, or business decisions.

5.3 Language Support

Transcription is available in 50+ languages, subject to Apple's speech recognition framework support for your device. Language availability may vary by device model and iOS version.

6. User Content

6.1 Ownership

You retain full ownership of all content you create using Voxxli, including recordings, transcripts, and any exported files. We do not claim any ownership rights over your content.

6.2 Responsibility

You are solely responsible for the content you record, import, and process through Voxxli. You agree not to use Voxxli to:

• Record conversations without the consent of all parties where required by applicable law.
• Record, store, or process content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable.
• Violate any applicable local, state, national, or international law or regulation.
• Infringe on any third party's intellectual property or privacy rights.

6.3 Recording Laws

Recording laws vary by jurisdiction. Some jurisdictions require all-party consent to record conversations, while others require only one-party consent. It is your responsibility to understand and comply with all applicable recording and wiretapping laws in your jurisdiction. We are not responsible for any illegal recordings made using the App.

7. Intellectual Property

The App, including its design, code, features, graphics, and all other elements (excluding your content), is owned by Voxxli and is protected by copyright, trademark, and other intellectual property laws. You may not:

• Copy, modify, or distribute the App or any part of it.
• Reverse engineer, decompile, or disassemble the App.
• Remove any copyright or proprietary notices from the App.
• Use the Voxxli name, logo, or branding without prior written permission.

8. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The App will be uninterrupted, error-free, or secure.
• Transcription results will be accurate or complete.
• AI-generated content will be accurate, relevant, or useful.
• The App will be compatible with all devices or operating system versions.
• Data stored on your device will not be lost or corrupted.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL VOXXLI BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your use of or inability to use the App.
• Any inaccuracies in transcription or AI-generated content.
• Any unauthorized access to or alteration of your data.
• Any loss of data stored on your device.
• Any third-party conduct or content.
• Any other matter relating to the App.

Our total liability for any claim arising from or related to these Terms or the App shall not exceed the amount you paid for the App in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Voxxli from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from or related to:

• Your use of the App.
• Your violation of these Terms.
• Your violation of any third party's rights, including privacy or intellectual property rights.
• Any content you record, import, or process through the App.

11. Termination

You may stop using the App at any time by deleting it from your device. We reserve the right to suspend or terminate your access to premium features if we reasonably believe you have violated these Terms. Upon termination:

• Your right to use premium features ceases immediately.
• Data stored locally on your device remains until you delete the App.
• Active subscriptions can be managed through your Apple ID account settings.

12. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the App after any changes constitutes acceptance of the new Terms. If you do not agree with the revised Terms, you should stop using the App.

13. Apple's Standard EULA

In addition to these Terms, your use of the App is subject to Apple's Standard End User License Agreement (EULA), available at https://www.apple.com/legal/internet-services/itunes/dev/stdeula/. In the event of a conflict between these Terms and Apple's EULA, Apple's EULA shall prevail with respect to matters within Apple's purview.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Romania, without regard to its conflict of law provisions. Any disputes arising from these Terms or the App shall be resolved in the courts of Romania.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions remain in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy and Apple's Standard EULA, constitute the entire agreement between you and Voxxli regarding the use of the App, and supersede any prior agreements or understandings.
